Terms & Conditions

IMPORTANT — PLEASE READ CAREFULLY. These Terms of Service (the "Terms") are a binding legal agreement between you ("you" or "User") and NOICTSY LLC, a Minnesota limited liability company doing business as Modern Woodsman ("Modern Woodsman," "we," "us," or "our"), governing your access to and use of the Modern Woodsman website, applications, and related services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. The Service

Modern Woodsman is a hunting intelligence platform that uses artificial intelligence to analyze content you provide and generate insights, maps, and recommendations. The Service is provided for informational and entertainment purposes only.

2. Beta Status

The Service is currently in a private beta. Access is by invitation and, where applicable, an invite code approved by us. Features may be added, changed, limited, suspended, or removed at any time. Data, analyses, or configurations you create may be modified, reset, or lost. We may add, limit, or revoke access at any time.

THE SERVICE AND ALL OUTPUTS DURING THE BETA ARE PROVIDED "AS IS" AND "AS AVAILABLE," MAY CONTAIN BUGS, ERRORS, AND INACCURACIES, AND MAY BE LESS RELIABLE THAN A GENERAL RELEASE. YOU SHOULD NOT RELY ON BETA OUTPUTS FOR ANY DECISION.

3. Eligibility; Minors

You must be at least sixteen (16) years of age to use the Service, and you represent that you meet this age requirement when you use the Service. If you are under the age of majority in your jurisdiction (typically 18), your parent or legal guardian must create or approve your account and agree to these Terms on your behalf. We may require verifiable evidence of parental or guardian consent. The Service is not intended for children under 13, and we do not knowingly permit anyone under 13 to use the Service.

4. Accounts and Registration

  • Account creation. To use most features you must create an account and provide accurate information. You may also register using a third-party sign-in.
  • Credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@modernwoodsman.ai of any unauthorized use.
  • Accuracy. You agree to keep your account information current.

5. Third-Party Service Connections

  • Connections. The Service allows you to connect third-party accounts and services so that Modern Woodsman may access and process content on your behalf.
  • Your authority. You represent and warrant that you own or have all rights and authorizations necessary to connect those accounts, provide the associated credentials, and authorize Modern Woodsman to access, retrieve, store, and process content and information from those services on your behalf, and that doing so does not violate any agreement between you and the third-party provider.
  • No responsibility for third parties. We are not responsible for any connection failures, service interruptions, changes to third-party services, or misuse of usernames or passwords. Third-party services are governed by their own terms and privacy policies, and your use of them is at your own risk.

6. User Content; Ownership and License

  • Your content. "User Content" means the content you upload, connect, or submit to the Service, including images, information, and messages you provide. As between you and Modern Woodsman, you retain ownership of your User Content.
  • Your representations; rights to content. You represent and warrant that you own or have obtained all rights, licenses, consents, and permissions necessary to upload or connect your User Content and to authorize our access to, storage of, and processing of it. You are solely responsible for ensuring you have the right to the content you provide, and you agree not to upload or connect any content that you do not have the right to use or that infringes or violates any third party's rights. This responsibility is yours, not ours.
  • Analysis and derived data. You acknowledge and agree that Modern Woodsman owns all analyses, classifications, models, datasets, scores, insights, and other outputs and derived data that we generate from User Content (collectively, "Derived Data"). Derived Data does not include your underlying User Content.
  • License to us. You grant Modern Woodsman a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, process, analyze, and create derivative works from your User Content for the purposes of operating, providing, securing, and improving the Service, including training and refining our models and features. We will handle your User Content in accordance with our Privacy Policy.
  • Removal. We may remove or disable access to User Content that we believe violates these Terms or applicable law. We respond to notices under the Digital Millennium Copyright Act (DMCA): if you believe content infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to our designated agent at legal@modernwoodsman.ai. We will remove infringing material in appropriate circumstances and will terminate the accounts of repeat infringers.

7. Acceptable Use

You agree not to, and not to permit others to:

  • scrape, crawl, harvest, or use automated means to access or copy the Service or any data or content, except as we expressly permit;
  • copy, reverse engineer, decompile, or attempt to derive our methods, models, or source code;
  • resell, sublicense, or commercially exploit the Service, our data, or Derived Data;
  • use the Service to violate any law or regulation, including hunting, wildlife, trespassing, or land-use laws;
  • upload unlawful, infringing, or harmful content, or content you lack the right to submit;
  • upload images of identifiable individuals without a lawful basis, or use the Service to stalk, harass, or unlawfully surveil any person; or
  • interfere with or disrupt the integrity or security of the Service.

Violation of this Section is a material breach. Users who scrape, copy our methods, or resell our data will be removed from the Service and may lose access to data associated with their account, in addition to any other remedies available to us.

Lawful use of the Service. Lawful use of the Service to monitor land where you have lawful right of possession, use, or entry — including monitoring that may capture trespassers or others on the land — is not prohibited by this Section. You remain responsible for your handling and use of any content you obtain through the Service.

8. Feedback and Bug Reporting

  • Reporting. The Service includes a mechanism to report bugs and submit feedback. We encourage you to report issues and incorrect outputs.
  • License to feedback. You grant Modern Woodsman a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, and incorporate any feedback, suggestions, or ideas you submit for any purpose, without any obligation, attribution, or compensation to you.

9. Pre-Release Confidentiality

Your use of the Service during the private beta may expose you to non-public features, functionality, roadmaps, and performance information ("Confidential Information"). You agree to keep Confidential Information confidential, to use it only to use the Service, and not to disclose it, publish benchmarks, or post screenshots or descriptions of unreleased features, admin panels, or roadmap communications without our prior written consent, until we make the information public.

Screenshots of your own outputs — including your sightings, maps, and analysis results — may be shared publicly.

Confidential Information does not include information that is or becomes public through no fault of yours, that you already lawfully knew, or that you independently developed. This obligation survives your use of the Service for one (1) year, or until the information becomes public, whichever is earlier.

10. Subscriptions, Auto-Renewal, and Payments

The provisions in this Section apply when you subscribe to a paid tier of the Service.

  • Plans and tokens. The Service offers paid subscription tiers and optional one-time purchases ("microtransactions"). Certain features consume tokens or allowances. Current pricing and inclusions are described in the Service and are subject to change.
  • Billing and auto-renewal. SUBSCRIPTIONS ARE BILLED ANNUALLY IN ADVANCE AND AUTOMATICALLY RENEW FOR SUCCESSIVE ONE-YEAR TERMS UNLESS YOU CANCEL BEFORE THE END OF THE THEN-CURRENT TERM. BY SUBSCRIBING, YOU AUTHORIZE US (THROUGH OUR PAYMENT PROCESSOR) TO CHARGE YOUR PAYMENT METHOD THE THEN-CURRENT FEE PLUS APPLICABLE TAXES AT EACH RENEWAL. BEFORE EACH RENEWAL, WE WILL SEND YOU A REMINDER BY EMAIL THAT STATES THE RENEWAL DATE, THE THEN-CURRENT FEE, AND HOW TO CANCEL, AT LEAST THIRTY (30) DAYS IN ADVANCE FOR ANNUAL TERMS. YOU MAY CANCEL AT ANY TIME BEFORE A RENEWAL, EFFECTIVE AT THE END OF THE THEN-CURRENT TERM. WE WILL ALSO PROVIDE ANY ADDITIONAL RENEWAL AND CANCELLATION NOTICES REQUIRED BY APPLICABLE LAW.
  • Cancellation. You may cancel at any time through your account settings, or by the same method you used to subscribe; if you subscribed through a mobile app store, you can cancel through that store's subscription settings. Cancellation will not require you to call us or take steps more burdensome than signing up. Upon cancellation, your subscription status is set to canceled and your tier reverts to free at the end of the current billing period. On renewal, token balances reset to the tier's yearly allowance.
  • Refunds. Except where required by law, fees are non-refundable.
  • Payment processor; app stores. Payments are processed by our third-party payment processor and are subject to that processor's terms. If you purchase through a mobile app store, additional app-store billing terms may apply.

11. Outputs; No Guarantee of Accuracy

The Service uses AI models and other automated methods to generate outputs. All outputs — including classifications, estimates, insights, ratings, and other results — are estimates and predictions, not guarantees, and may be inaccurate or incomplete.

We do not guarantee the accuracy, reliability, or availability of any output. Models may misclassify content, may miss or fail to process inputs, and may be affected by circumstances beyond our control, including issues with third-party providers. You should not rely on the Service as the sole basis for any decision.

Wildlife health assessments. Wildlife health assessments, including any indicators of infectious disease, are visual estimates and not a diagnosis. They are not a substitute for professional wildlife-veterinary evaluation and do not replace any mandatory disease-reporting obligations under state or federal law. If you suspect a reportable wildlife disease, contact your state wildlife agency.

12. Compliance with Laws; Maps and Boundaries

  • Applicable laws. The Service does not provide legal advice. You are solely responsible for knowing and complying with all applicable federal, state, and local laws and regulations, including hunting seasons, bag limits, licensing, and disease-reporting requirements.
  • Property lines and public lands. Mapping features, boundary overlays, and public-land data are approximate, are drawn from third-party and public sources, and do not constitute a legal survey. You should verify property lines through official records.
  • Access and trespass. Mapping features do not authorize access to any property. You are responsible for obtaining all necessary permissions.

13. Intellectual Property

The Service, including all software, models, text, graphics, and trademarks (other than your User Content), is owned by Modern Woodsman or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use.

14. Third-Party Content and Links

The Service incorporates third-party data and services. We do not control and are not responsible for third-party content, and its inclusion does not imply endorsement. We also rely on third-party vendors and service providers to operate the Service, including to host, store, process, and analyze information. To the fullest extent permitted by law, we are not responsible or liable for the acts, omissions, or security practices of, or the independent use of information by, any third-party vendor or service provider, and information they handle is subject to their own terms and privacy practices.

15. Disclaimers

THE SERVICE AND ALL CONTENT AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODERN WOODSMAN AND ITS OWNERS, MEMBERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Indemnification

You agree to indemnify, defend, and hold harmless Modern Woodsman and its owners, members, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your User Content, including any claim that your User Content infringes or violates a third party's intellectual-property, privacy, or other rights, your use of the Service, your connection of third-party accounts, or your violation of these Terms or applicable law.

18. Term; Suspension; Termination

These Terms remain in effect while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, for any conduct we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, the license granted to you ends and you must continue to protect Confidential Information as provided above. Data handling on account deletion is described in the Privacy Policy.

19. Changes to the Service or Terms

We may modify the Service or these Terms at any time. If we make material changes, we will provide advance notice (for example, by email or in-app notice) a reasonable time before they take effect. Where required by law — including for changes to dispute resolution, fees, or your key rights — we will obtain your affirmative acceptance. If you do not agree to a material change, you may cancel your subscription and stop using the Service before it takes effect; your continued use after that date constitutes acceptance of the change.

20. General Provisions

  • Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
  • Survival. Provisions that by their nature should survive termination will survive.
  • Severability. If any provision is unenforceable, the remaining provisions remain in effect.
  • Waiver. No waiver is effective unless in writing, and no waiver is a waiver of any subsequent breach.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Governing Law. These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws principles.
  • Dispute Resolution; Venue. Subject to any mandatory consumer protections, the exclusive venue for disputes is the state and federal courts located in Hennepin County, Minnesota, and you consent to their jurisdiction. Except for claims that qualify for small-claims court and claims seeking injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. YOU AND MODERN WOODSMAN EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You may opt out of arbitration by emailing legal@modernwoodsman.ai within 30 days of first accepting these Terms.
  • Electronic Communications. You consent to receive communications from us electronically.
